SPECIAL CLOSED SESSION MINUTES
9:30 a.m., Tuesday, August 28, 2001

On call of the President, the Board of Education of the City of Los Angeles, acting as the Governing Board of the Los Angeles Unified School District, met in public prior to Closed Session on August 28, 2001, in
Room H-160, Los Angeles City Board of Education Administrative Offices, 450 North Grand Avenue.

President Caprice Young called the meeting to order at 9:35 a.m., simultaneously with the recessed Closed Session Meeting of August 15, 2001.

The following Board Members were present: Ms. Marlene Canter, Mr. José Huizar, Mr. David Tokofsky, and President Caprice Young. Ms. Genethia Hudley Hayes, Ms. Julie Korenstein, and Mr. Mike Lansing were absent.

Mr. Richard Sheehan, Special Counsel to the Board, was present.

Mr. Huizar led the Pledge of Allegiance.

Mr. Jefferson Crain, Executive Officer of the Board, announced that the Board would be considering the following in closed session:

At 9:45 a.m., the Board recessed the public portion of the meeting to begin the closed portion.
Closed Session discussion began at 9:50 a.m. and ended at 2:41 p.m.
All Board Members were present during the closed portion of the meeting.

The Board reconvened the public portion of the meeting at 3:12 p.m. The following Board Members
were present: Ms. Canter, Ms. Hayes, Mr. Huizar, Ms. Korenstein, €Mr. Tokofsky, and President Young.
Mr. Lansing was absent.



Mr. Sheehan made the following announcements:

The Board adopted resolutions authorizing the Chief Facilities Executive or one of his designees to make offers, negotiate price and terms, enter into contingent purchase agreements, and request deposit funds to place into escrow relating to 14 different properties as outlined in Attachment B.

The votes on the sites were 7 ayes, with the exception of East Valley New Middle School No. 2 on which Ms. Canter and Mr. Tokofsky abstained.

The Board approved the settlement of FTR International v. Los Angeles Unified School District, Los Angeles Superior Court Case No. BC 220141 consolidated with Los Angeles Superior Court Case Nos. BC 222140 and BC 226689 (Porter Middle School) in the amount $2 million.

The vote was 7 ayes.

The Board also authorized the staff to appeal the recent Arbitrator's decision in the matter of Temple Beaudry Partners, LLC, et al. v. Los Angeles Unified School District, American Arbitration Association Case No. 72 Y 115 004 18 000, and authorized the staff in its discretion to pay any sums necessary or required in connection with such an appeal including payment of the judgment of approximately $17 million plus any post judgment interest.

The vote 7 ayes.

On motion by Ms. Korenstein, seconded by Ms. Hayes, the meeting was adjourned by general consent
at 3:17 p.m. Mr. Lansing was absent
